These Terms and Conditions ("Agreement") govern the provision of services by Chic Geek Enterprises, LLC ("The GeekLink") to its clients ("Client"). By engaging The GeekLink services, the Client agrees to be bound by this Agreement.

1. Introduction

The GeekLink, powered by Chic Geek Enterprises, LLC, offers a range of CRM and marketing automation services ("The GeekLink Services"). By accessing or using these services, the Client agrees to comply with these Terms and Conditions.

2. Services

The GeekLink will provide services that include but are not limited to:

CRM and Lead ManagementMarketing AutomationWebsite and Landing Page BuildingCommunication Tools (SMS, Email, Phone, Social Media Integration)Sales and Payment ProcessingReporting and AnalyticsAgency support for system execution, including analysis, development, and system administration as needed.

Limitations:

The GeekLink services do not include any customization outside the scope defined in the service plan selected by the Client.

3. Client Responsibilities

The Client agrees to:

Provide accurate and complete information necessary for The GeekLink to perform the services.Cooperate in all matters related to the services.Comply with all applicable laws and regulations when using The GeekLink services.Ensure the accuracy, quality, and legality of any content provided for use in connection with the services.

4. Fees, Marketing Credits, and Payment

Pricing: Fees include setup fees, recurring monthly or annual subscription fees, and potential usage-based fees for specific services (e.g., SMS, email).Marketing Credits: Each month, Clients receive a marketing credit of 10% of their monthly subscription fee. Any marketing services exceeding this credit will be billed weekly.Payment Terms: Payments are due in full by the date specified on the invoice. The GeekLink accepts payments by credit card, debit card, and other methods specified at signup. Late payments may incur additional charges.

5. Intellectual Property

Ownership: Chic Geek Enterprises, LLC retains all rights to materials, tools, and processes used or created as part of the service.License: The Client grants Chic Geek Enterprises, LLC a non-exclusive license to use any Client-provided content for performing services.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared in the course of this Agreement. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.

7. Limitation of Liability

Chic Geek Enterprises, LLC shall not be liable for any indirect, incidental, special, or consequential damages.Liability for any claim shall not exceed the total fees paid by the Client in the 1 month prior to the claim.

8. Indemnification

The Client agrees to indemnify and hold harmless Chic Geek Enterprises, LLC from claims, damages, losses, or liabilities arising from:

Breaches of this Agreement. Violations of applicable laws or regulations.Infringements of third-party intellectual property rights by the Client.

9. Termination

Either party may terminate this Agreement with 30 days' written notice.Upon termination, any outstanding fees owed by the Client must be paid in full. Chic Geek Enterprises, LLC will assist in the transition of the Client's account to GoHighLevel, as per GoHighLevel’s prevailing terms and pricing.

10. Account Transfer Upon Business Closure

In the event that The GeekLink ceases operations, we will facilitate the transfer of the Client's account directly to GoHighLevel, subject to their terms and fees at the time of transfer.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Michigan. Disputes will be resolved through mediation or arbitration as determined by Chic Geek Enterprises, LLC.

12. Entire Agreement

This document constitutes the entire Agreement between the parties and supersedes all prior agreements or representations.

13. Modifications

Chic Geek Enterprises, LLC reserves the right to modify this Agreement by posting updates on its website. The Client’s continued use of services constitutes acceptance of the modified terms.

14. Severability

If any part of this Agreement is held invalid, the remaining provisions will continue in full force and effect.

15. Waiver

No waiver of any breach or default shall be considered a waiver of any subsequent breach or default.

16. Notices

Notices should be sent in writing to the addresses provided by each party.
